How to Fax NDAs — Confidential Agreement Transmission with Delivery Confirmation
Non-disclosure agreements get signed before a company shares proprietary technology, business plans, manufacturing processes, or financial information, and the date of execution matters because it marks when the confidentiality obligation took effect. Manufacturers, defense contractors, and legal teams fax executed NDAs when they want a tamper-resistant record showing the counterparty received the signed agreement before any sensitive information changed hands. Fax suits NDA transactions because it fixes the exact delivery time in a way that email threads and PDF attachments can't reliably establish.
How to Fax a NDAs
- 1Review the NDA to confirm all key terms are present: definition of confidential information, permitted uses, exclusions, term of confidentiality, obligations upon termination, and governing law
- 2Identify all parties required to sign — mutual NDAs require signatures from both parties, and the agreement is not effective until fully executed by all signatories
- 3Execute the NDA with authorized signatories — confirm that the person signing has authority to bind the legal entity (officers, members, or duly authorized agents)
- 4Include the fully executed signature pages along with the complete agreement body — do not fax just the signature pages without the body of the agreement
- 5Fax to the counterparty's authorized contact fax number (confirm from prior correspondence or directly from the counterparty, not from directory listings)
- 6Save the delivery confirmation and attach it to the NDA file — the timestamp documents when the counterparty received the executed agreement
Document Format
NDAs must be executed with clear, legible signatures in the designated signature blocks — a signature that bleeds into the text of the agreement or is placed outside the signature line creates ambiguity about whether the signing party intended to execute the document. The effective date should appear on the signature page and match the date of execution. For multi-party NDAs, all signature blocks must be present on the same document — circulating signature pages separately creates authentication risk. Include the legal entity name (not just a trade name) in the party designations.
Legal Considerations
NDAs executed via fax are binding contracts under ESIGN and UETA. The scope of the confidentiality obligation — including what constitutes confidential information and for how long it must be protected — is determined entirely by the agreement's terms, not by the transmission method. Trade secret protection under the Defend Trade Secrets Act (18 U.S.C. § 1836) requires the owner to take reasonable measures to maintain secrecy; having a signed NDA with a documented delivery record is part of demonstrating those measures. Retain the executed NDA and fax delivery confirmation for the entire term of the confidentiality obligation plus any applicable statute of limitations for breach of contract claims.
